1.Introduction and Acceptance of Terms

Welcome to UNIFYD, an AI-powered fitness coaching platform operated by Unifyd Group Pty Ltd (644 869 698) ("UNIFYD", "we", "us", or "our"). UNIFYD is accessible via the website at www.weareunifyd.com and the web application at app.weareunifyd.com (collectively, the "Platform").

By accessing or using the Platform, creating an account, or clicking "I agree" (or equivalent), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform.

You must be at least 13 years old to use the Platform. By creating an account or using the Platform, you represent and warrant that you meet this age requirement.

If you are between 13 and 17 years of age (inclusive), you must have the consent of a parent or legal guardian to use the Platform, and that parent or guardian agrees to be bound by these Terms on your behalf. UNIFYD reserves the right to request proof of age or parental consent at any time.

If you are a parent or legal guardian permitting a minor to use the Platform, you are fully responsible for the minor's use of the Platform, including any charges incurred, and you agree to these Terms on behalf of the minor.

We do not knowingly collect personal information from children under 13 years of age. If we become aware that a user is under 13, we will immediately deactivate their account and delete associated personal information. If you believe a child under 13 has created an account, please contact us at team@weareunifyd.com.

4.Account Registration and Security

To access most features of the Platform, you must create an Account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account.

UNIFYD is not liable for any loss or damage arising from your failure to maintain adequate account security. We reserve the right to suspend or terminate your Account if we have reason to believe your credentials have been compromised or these Terms breached.

5.Subscription Plans and Billing

5.1 Free Plan

UNIFYD offers a Free Plan that provides access to a defined set of Platform features at no charge. The features available under the Free Plan are described on the Platform and may change from time to time at our discretion with reasonable notice.

5.2 Pro Plan

The Pro Plan is a paid Subscription that unlocks the full AI coaching experience, including AI-generated training plans, adaptive load management, and advanced analytics. Pro Plan pricing is currently:

All prices are in Australian Dollars (AUD) and include GST where applicable. UNIFYD reserves the right to change pricing with at least 30 days' prior notice to existing subscribers.

5.3 Billing and Payment

All payments are processed securely by Stripe. By subscribing to the Pro Plan, you authorise us to charge your nominated payment method on a recurring basis at the interval you select (monthly or annual). Subscriptions renew automatically unless cancelled in accordance with clause 6.

You are responsible for ensuring your payment details remain valid and up to date. If a payment fails, we may suspend your access to Pro Plan features until payment is successfully processed. UNIFYD is not responsible for any bank fees or charges levied by your financial institution.

5.4 Free Trial Periods

UNIFYD may, from time to time, offer a free trial of the Pro Plan. Where a free trial is offered, the duration and conditions will be stated at the time of sign-up. Unless you cancel before the trial ends, your Subscription will commence automatically and you will be billed at the applicable rate.

6.Cancellation and Refunds

6.1 Cancellation by You

You may cancel your Pro Plan Subscription at any time through the account settings in the Platform, or by contacting us at team@weareunifyd.com. Cancellation takes effect at the end of the current billing period. You will continue to have access to Pro Plan features until your paid period expires, after which your Account will revert to the Free Plan.

6.2 Refund Policy

Subject to your rights under the Australian Consumer Law (ACL) and any applicable State consumer protection legislation, subscription fees are generally non-refundable. We do not provide refunds for partial billing periods.

However, we will provide a full or pro-rata refund where:

6.3 Cancellation by UNIFYD

We reserve the right to cancel your Subscription or terminate your Account for any breach of these Terms, non-payment, or any conduct that we reasonably consider harmful to the Platform or other users. In such cases, we will provide reasonable notice unless the breach is so serious that immediate termination is necessary.

7.Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform in any way that:

9.AI-Generated Content and Limitations

The Platform uses third-party artificial intelligence technology (including Claude, developed by Anthropic, PBC) to generate personalised fitness content. You understand and agree:

10.1 UNIFYD's IP

All content on the Platform, including but not limited to the software, design, graphics, text, logos, workout libraries, and AI systems, is owned by or licensed to Unifyd Group Pty Ltd and is protected by Australian and international intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Platform without our prior written consent.

10.2 Licence to You

Subject to your compliance with these Terms, UNIFYD grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial fitness purposes.

10.3 Your User Content

You retain ownership of any User Content you submit to the Platform. By submitting User Content, you grant UNIFYD a non-exclusive, worldwide, royalty-free licence to use, store, process, and display that User Content for the purpose of providing and improving the Platform, including training and improving AI models. This licence continues after termination solely to the extent necessary to fulfil our legal obligations or maintain our systems.

You represent and warrant that your User Content does not infringe any third-party rights and that you have all necessary consents to submit it.

11.Privacy and Data Collection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference and is available at weareunifyd.com/privacy.

16.Platform Availability and Changes

UNIFYD does not guarantee that the Platform will be available at all times. We may suspend, modify, or discontinue any part of the Platform at any time for maintenance, upgrades, or any other reason. We will endeavour to provide reasonable notice of planned downtime where practicable.

We reserve the right to modify, add, or remove features from the Platform at any time. Changes to paid features that materially reduce the value of the Pro Plan will be communicated to active subscribers with at least 30 days' notice, giving you the right to cancel your Subscription and receive a pro-rata refund.

17.Termination

You may close your Account and stop using the Platform at any time by contacting us at team@weareunifyd.com. If you have an active Subscription, the terms in clause 6 apply.

We may suspend or terminate your Account immediately and without notice if:

On termination, your licence to use the Platform ceases immediately. Clauses that by their nature should survive termination (including clauses 8, 10, 11, 13, 14, 15, and 19) will continue to apply.

18.Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, applicable laws, or business practices. When we make material changes, we will notify you by email (to the address associated with your Account) or by a prominent notice on the Platform at least 14 days before the changes take effect.

Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Platform and, if applicable, cancel your Subscription before the changes take effect.

19.Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Victoria, Australia. You and UNIFYD each submit to the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia for the resolution of any disputes.

Before commencing any formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved within 30 days of written notice, either party may seek resolution through mediation or the courts as applicable.

Nothing in this clause prevents either party from seeking urgent interlocutory relief from a court.

20.General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and UNIFYD with respect to the Platform and supersede all prior or contemporaneous communications.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision under these Terms will not constitute a waiver of that right or provision.

20.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. UNIFYD may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

20.5 Force Majeure

UNIFYD will not be liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, pandemics, internet outages, or acts of government.

20.6 No Partnership

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and UNIFYD.
